1. INTRODUCTION

These Terms of Service ("Terms") govern your use of the services provided by SDigital ("Company", "we", "us", or "our") accessible via https://soparkdigital.com. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, you must not use our services.

1. DEFINITIONS

"Services" refers to all products and services offered by SDigital, including but not limited to shared web hosting, reseller hosting, domain name registration and transfer, website design and development, and any related technical services.

"Client", "you", or "your" refers to any individual or entity that registers for, accesses, or uses our Services.

"Account" means the account you create to access and manage your Services with us.

1. ELIGIBILITY

You must be at least 18 years of age or the age of legal majority in your jurisdiction to use our Services. By agreeing to these Terms, you represent and warrant that you meet this requirement. If you are entering into these Terms on behalf of a business entity, you represent that you have the authority to bind that entity.

1. ACCOUNT REGISTRATION AND SECURITY

4.1. You must provide accurate, current, and complete information during registration and keep your account information updated at all times.

4.2. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4.3. You must notify us immediately at support@soparkdigital.com if you become aware of any unauthorized use of your account.

4.4. We reserve the right to suspend or terminate accounts that contain false or outdated information.

1. SERVICES

5.1. Web Hosting Services We provide shared and reseller web hosting services. All hosting accounts are subject to the resource limits specified in the plan selected at the time of purchase. We reserve the right to suspend accounts that exceed their allocated resources or that negatively impact server performance for other clients.

5.2. Domain Registration Services Domain name registration and transfers are subject to the policies of the applicable domain registry and ICANN (Internet Corporation for Assigned Names and Numbers). Domain registrations are non-refundable once completed. You are responsible for ensuring your domain contact information is accurate and current.

5.3. Website Design Services Website design and development services are provided as described in the applicable project agreement or scope of work. All custom work remains the intellectual property of the Client upon full payment, unless otherwise agreed in writing. We retain the right to display completed work in our portfolio unless you request otherwise.

5.4. Service Level We strive to maintain 99.9% uptime for our hosting services. However, we do not guarantee uninterrupted or error-free operation. Scheduled maintenance windows will be communicated in advance where reasonably possible.

1. PAYMENT AND BILLING

6.1. All fees are due in advance according to the billing cycle selected (monthly, quarterly, semi-annually, or annually). Prices are listed in US Dollars (USD) unless otherwise stated.

6.2. We accept payments through the payment methods made available on our website. You agree to provide valid and current payment information.

6.3. Failure to pay any invoice within 7 days of the due date may result in suspension of Services. Accounts that remain unpaid for 14 days past the due date may be terminated, and all associated data may be permanently deleted.

6.4. We reserve the right to change pricing with 30 days advance written notice. Price changes will take effect at the start of your next billing cycle.

1. REFUND POLICY

7.1. Hosting services are eligible for a full refund if cancelled within 30 days of the initial purchase. This does not apply to renewals.

7.2. Domain registrations and renewals are non-refundable.

7.3. Website design deposits are non-refundable once work has commenced.

7.4. Refund requests must be submitted in writing to support@soparkdigital.com.

1. ACCEPTABLE USE POLICY

You agree not to use our Services to:

8.1. Host, distribute, or link to any content that is unlawful, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.

8.2. Distribute malware, viruses, trojans, worms, or any other malicious software or code.

8.3. Send unsolicited bulk email (spam), phishing emails, or engage in any form of email abuse.

8.4. Engage in any activity that disrupts, interferes with, or places an unreasonable burden on our servers, networks, or infrastructure.

8.5. Host content that infringes upon the intellectual property rights of any third party, including copyright, trademark, or patent rights.

8.6. Engage in cryptocurrency mining, operate proxy or VPN services for abuse, or run any process that consumes excessive server resources.

8.7. Attempt to gain unauthorized access to any systems, accounts, or networks connected to our Services.

8.8. Violate any applicable local, national, or international law or regulation.

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without notice or refund.

1. DATA BACKUP AND RESPONSIBILITY

9.1. While we may perform periodic backups as a courtesy, you are solely responsible for maintaining independent backups of all your data, files, and content hosted with us.

9.2. We are not liable for any loss of data resulting from hardware failure, software errors, security breaches, account suspension, termination, or any other cause.

9.3. We strongly recommend that all clients implement their own regular backup procedures.

1. INTELLECTUAL PROPERTY

10.1. All content, trademarks, logos, and intellectual property displayed on our website are owned by SDigital or its licensors and are protected by applicable intellectual property laws.

10.2. You retain ownership of all content you upload to our servers. By using our Services, you grant us a limited, non-exclusive license to host and display your content solely for the purpose of providing the Services.

1. SUSPENSION AND TERMINATION

11.1. We may suspend or terminate your account immediately, without prior notice, if you violate these Terms, the Acceptable Use Policy, or any applicable law.

11.2. You may cancel your Services at any time by submitting a cancellation request through your client area or by contacting support@soparkdigital.com.

11.3. Upon termination, your data may be permanently deleted after 7 days. It is your responsibility to retrieve any data prior to account termination.

11.4. We reserve the right to refuse service to anyone at our sole discretion.

1. LIMITATION OF LIABILITY

12.1. To the maximum extent permitted by applicable law, SDigital shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of our Services.

12.2. Our total aggregate liability for any claim arising out of or relating to these Terms or our Services shall not exceed the total amount paid by you to SDigital during the 12-month period immediately preceding the event giving rise to the claim.

12.3. We are not liable for any downtime, data loss, or service interruption caused by factors beyond our reasonable control, including but not limited to natural disasters, acts of war, government actions, power failures, or third-party service provider failures.

1. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless SDigital, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from your use of our Services, your violation of these Terms, or your violation of any rights of a third party.

1. PRIVACY

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our collection and use of data as described in our Privacy Policy.

1. THIRD-PARTY SERVICES

Our Services may integrate with or rely upon third-party services, including domain registries, control panel software, and payment processors. We are not responsible for the availability, accuracy, or practices of these third-party services. Your use of third-party services may be subject to their own terms and conditions.

1. FORCE MAJEURE

We shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, acts of government, network failures, power outages, or cyberattacks.

1. DISPUTE RESOLUTION

17.1. Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good faith negotiation between the parties.

17.2. If a dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through binding arbitration or the courts of competent jurisdiction.

17.3. You agree that any claim must be brought individually, and you will not participate in any class action or representative proceeding against SDigital.

1. MODIFICATIONS TO TERMS

18.1. We reserve the right to modify these Terms at any time. Changes will be effective upon posting the updated Terms on our website.

18.2. We will make reasonable efforts to notify you of material changes via email or through your client area.

18.3. Your continued use of our Services following the posting of changes constitutes your acceptance of the revised Terms.

1. SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

1. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any applicable service-specific agreements, constitute the entire agreement between you and SDigital regarding the use of our Services and supersede all prior agreements and understandings.
